Welcome to ORZELUX. These Terms of Service ("Terms") govern your use of orzelux.com and the purchase of products from Jiangmen Orzelux New Energy Co., Ltd. ("ORZELUX," "we," "us"). By accessing this website or placing an order, you agree to these Terms.

1. About ORZELUX

ORZELUX is a manufacturer of premium solar outdoor lighting products based in Jiangmen, Guangdong Province, China. We serve B2B clients in 60+ countries with garden lights, street lamps, wall lights, lawn lights, and smart APP-controlled lighting series.

2. Use of Website

You may use this website to:

• Browse product information, specifications, and case studies
• Submit inquiries and request quotations
• Engage with our AI customer assistant (Zelux)

You may not:

• Reproduce, copy, or distribute our content for commercial purposes without permission
• Use automated tools (scrapers, bots) without authorization
• Attempt to compromise the security of our systems
• Use our content to mislead consumers or for fraudulent purposes

3. Product Information

We make every effort to present accurate product information, including specifications, dimensions, certifications, and images. However:

• Slight color variations between displayed images and actual products may occur
• Specifications may change with continuous product improvement; final specifications are confirmed in the sales contract
• Customer renderings or stock photos may be used for illustration purposes

4. Quotations & Orders

All quotations are provided in writing via email and are valid for 30 days unless otherwise stated. Orders are confirmed only when:

• A signed Proforma Invoice (PI) or Purchase Order (PO) is exchanged
• Initial deposit (typically 30%) is received and verified

Standard payment terms: 30% deposit upon order confirmation, 70% balance before shipping. Other terms (L/C, OA) may be negotiated for repeat customers.

5. Manufacturing & Lead Time

• Stock items: 7 days from confirmation to shipping
• Custom orders: 25-35 days from deposit receipt
• Bulk orders (1000+ units): 35-45 days from deposit receipt

Lead times exclude transit time. Force majeure events (natural disasters, government restrictions, pandemic) may cause delays. We will notify you promptly if delays occur.

6. Shipping & Delivery

We ship via sea, air, and express courier under FOB, CIF, or DDP terms as agreed in the contract. Risk of loss transfers per the Incoterms specified. Customs duties under FOB/CIF are the buyer's responsibility; under DDP, ORZELUX handles customs clearance.

7. Warranty

• Standard products: 5 years from delivery date
• Smart APP series: 3 years from delivery date
• OEM/ODM custom products: 2 years (unless otherwise agreed)

Warranty covers manufacturing defects only. Excluded:

• Damage from improper installation, misuse, vandalism, or extreme weather
• Wear and tear of consumable parts (batteries, after manufacturer-rated cycles)
• Modifications by unauthorized parties

Defective units are repaired or replaced. Buyer covers return shipping for defective items; we cover replacement shipping.

8. Intellectual Property

The ORZELUX brand, logo, product designs, photography, and website content are protected by trademark and copyright laws. Unauthorized use is prohibited. For OEM/ODM projects, IP ownership is defined per individual contract.

9. Limitation of Liability

To the maximum extent permitted by law, ORZELUX's total liability for any claim arising from a purchase shall not exceed the contract value of that specific order. We are not liable for:

• Indirect, consequential, or punitive damages
• Lost profits, business interruption, or data loss
• Third-party claims unrelated to product defects

10. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, government actions, pandemics, port closures, or major shipping disruptions.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the People's Republic of China. Disputes shall be resolved by:

• Good-faith negotiation as the first step
• Mediation if direct negotiation fails
• Arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Shenzhen Sub-commission, conducted in English

12. Modifications

We may update these Terms periodically. The "Last Updated" date reflects the most recent version. Continued use of our website or services after changes constitutes acceptance.
